End User License Agreement

1. Parties and Definitions

This End User License Agreement ("Agreement") is entered into between:

Licensee: The individual or entity purchasing, downloading, or using the Software.

Definitions include:

  • Software: The ictVoIP Billing addon module for WHMCS, FusionPBX server module, related components, scripts, documentation, and updates.
  • FusionPBX Ecosystem: The integrated suite including the FusionPBX server module, ictVoIP Billing addon, provisioning APIs, CDR collection systems, and related utilities.
  • License Key: The unique activation code provided upon purchase.
  • Production Use: Deployment in a live business environment serving customers or generating revenue.
  • Development Use: Use in testing, staging, or development environments not serving production traffic.

2. Grant of License

Subject to the terms of this Agreement and payment of applicable fees, Licensor grants Licensee a non-exclusive, non-transferable, revocable license to install and use the Software according to the purchased license type.

2.1 License Scope

The Software may be installed and used on authorized WHMCS installations and associated FusionPBX environments according to the purchased tier.

2.2 License Types

Single License: One production WHMCS installation with associated FusionPBX services, valid for the domain(s) specified at purchase.

Multi-License: Multiple production WHMCS installations as specified in the purchase agreement.

2.3 FusionPBX Server Quantity Tiers

The Software includes tiered licensing for FusionPBX server provisioning. Server limits are enforced at provisioning time in the FusionPBX server module. Tier upgrades are available by purchasing a higher tier.

2.4 License Validation

  • License Keys are validated against the Licensor's licensing server.
  • Software requires periodic license validation.
  • Failure to validate may result in feature restrictions or deactivation.

3. Restrictions

Licensee shall not redistribute, resell, sublicense, reverse engineer, decode, deobfuscate, remove proprietary markings, share license keys, or use a single license on multiple unauthorized production installations.

Template files may be modified for internal customization only. Encoded source code may not be decoded, deobfuscated, or reverse engineered.

4. Intellectual Property

Licensor retains all right, title, and interest in the Software. This Agreement does not transfer ownership of intellectual property. Software source code, algorithms, and architecture remain proprietary.

5. Support and Updates

Support level is determined by the purchased license tier. Updates, bug fixes, and security patches may be provided during the active license period. Major upgrades or new features may require additional fees.

Licensee is responsible for backups before applying updates and for maintaining compatible WHMCS and FusionPBX environments.

6. Data and Privacy

Software uses WHMCS Licensing Manager for license validation and may collect domain, IP address, installation directory path, and license key information.

Collected data is used for:

  • License validation and fraud prevention
  • Product improvement and development
  • Support and troubleshooting
  • License tier enforcement

Licensee remains responsible for securing WHMCS, protecting customer data, and complying with applicable privacy laws.

7. Warranties and Disclaimers

Software is provided with a limited warranty period as defined in the live agreement. Except as expressly provided, the Software is provided "as is" without warranty of any kind.

Licensor does not guarantee specific business outcomes, billing accuracy without proper configuration, or uninterrupted operation in every environment.

8. Limitation of Liability

To the maximum extent permitted by law, Licensor's total liability shall not exceed the amount paid by Licensee for the Software in the 12 months preceding the claim. Licensor shall not be liable for indirect, incidental, consequential, lost profit, data loss, service interruption, or third-party claims except where exclusions are prohibited by law.

9. Indemnification

Licensee agrees to indemnify, defend, and hold harmless Licensor from claims arising from Licensee's use of the Software in violation of this Agreement, modifications, legal violations, or claims by customers or third parties.

10. Term and Termination

The Agreement begins on purchase or download date and remains valid for the license period specified at purchase. Monthly licenses renew automatically unless cancelled. Licensor may terminate for breach, unauthorized use, license sharing, reverse engineering, or non-payment.

If payment is not received by the due date, the license is suspended after a 2-day grace period.

11. General Provisions

This Agreement is governed by the laws of Ontario, Canada. Parties submit to the exclusive jurisdiction of courts in Ontario, Canada. The Agreement constitutes the entire agreement between parties and supersedes prior agreements.

Licensor may update this Agreement with notice. If any provision is found unenforceable, remaining provisions remain in effect.

12. Specific Provisions for FusionPBX Ecosystem

The Software integrates with FusionPBX, CDR collection and billing systems, provisioning APIs, and multi-tenant environments. Licensee is responsible for proper FusionPBX configuration, API access, database connectivity, tenant security, and billing validation.

13. Refund Policy

Refund eligibility, process, and no-refund scenarios are governed by the live purchase terms and current EULA. Production deployments, completed installations, expired eligibility windows, and custom work may be excluded from refunds.

15. Acceptance

By purchasing, downloading, installing, or using the Software, Licensee acknowledges that they have read, understood, and agree to be bound by this Agreement.
